Disputes Within Corporations and Partnerships
We represent shareholders who claim that officers and directors breached their duties to the company. We have helped resolve disputes arising from the breakup of partnerships or small corporations. Many of those cases involved arbitration or litigation regarding the value of a company’s or partnership’s assets and the appropriate way to distribute those assets.
We also represent attorneys who have disputes with other attorneys, typically their partners, concerning breaches of the partnership agreement, compensation or dissolution of the partnership.
Representative Cases:
- Richardson v. Hydroplanes Unlimited, Inc., et al. (Washington - King County). Represented company owning hydroplane in products liability action regarding claims that unlimited hydroplane was not properly designed. The case was dismissed.
- Hauck v. Northwest Cortez and Apollo Motor Homes (Washington - King County). Defended a manufacturer of motor homes against breach-of-warranty and products liability claims. The case was tried with no damages assessed against the manufacturer.
- Sewat, J.V. v. Alcan Aluminum Co., et al. (Washington - Federal Court). Represented a manufacturer of steel against claims of more than $4 million arising from allegedly defective steel. The claims against the company were stayed and later dismissed.
- Boruck v. Cycles Peugeot (Washington - King County Court). Represented manufacturer of bicycles in products liability litigation. The case against the client was dismissed.
